By accessing or using MPLUS, you agree to be bound by these Terms. Please read them carefully.

Important Disclaimer

MPLUS is a software platform only. We do not operate, manage, oversee, or participate in any microfinance, paluwagan, lending, savings, or financial group activities conducted through the system. All financial operations, member agreements, collection decisions, and fund disbursements are the sole responsibility of the Tenant Administrator who operates the platform.

1. Definitions

  • "MPLUS" / "Platform" / "We" refers to the MPLUS Microfinance SaaS software and its operator.
  • "Tenant Administrator" / "Tenant Admin" refers to any individual or organization that registers an account and uses the platform to manage a microfinance or savings group.
  • "User" refers to any person accessing or using the platform, including Tenant Admins and their authorized sub-users.
  • "Group Member" refers to any individual managed within the platform by a Tenant Administrator. Group Members are not direct users of MPLUS and have no contractual relationship with MPLUS.
  • "Tenant Data" refers to all financial records, member information, transaction history, and related content entered into the platform by a Tenant Admin.
  • "Services" refers to the software tools, features, and infrastructure made available through the MPLUS platform.

2. Platform Description — What MPLUS Is and Is Not

Scope of Services

MPLUS provides software tools for managing microfinance and savings group operations. We are a technology provider, not a financial institution, lender, investment advisor, or financial services firm.

MPLUS provides the following software capabilities:

  • Group and member management tools
  • Monthly collection tracking and cycle management
  • Bidding and Repa payout computation engine
  • Internal loan tracking and auto-deduction logic
  • Group fund (treasury) ledger
  • Data export and reporting features
  • Multi-tenant user and role management

MPLUS does NOT:

  • Hold, transfer, or manage any money or financial assets
  • Act as a bank, lending institution, or financial intermediary
  • Guarantee the accuracy of data entered by Tenant Admins
  • Oversee, audit, or verify any financial transactions conducted between members
  • Provide any legal, financial, tax, or investment advice
  • Assume liability for financial losses arising from group operations

3. Tenant Administrator Responsibilities

This is the most important section of these Terms.

As a Tenant Administrator, you are fully, exclusively, and solely responsible for all activities, operations, decisions, and consequences arising from your use of the MPLUS platform. MPLUS acts only as a software tool — all operational authority and accountability rests entirely with you.

By registering and using MPLUS as a Tenant Administrator, you explicitly agree that you are solely responsible for:

  • Group Operations: All decisions regarding the formation, management, continuation, or dissolution of any savings group or paluwagan you operate using the platform.
  • Member Relations: All agreements, obligations, and communications between you and the group members you manage. MPLUS has no relationship with your group members.
  • Financial Accuracy: The correctness and integrity of all data you enter into the system, including collection amounts, member contributions, payout amounts, loan records, and treasury entries.
  • Fund Handling: The actual collection, holding, disbursement, and safekeeping of all money. MPLUS does not touch any funds.
  • Legal Compliance: Ensuring that your group operations comply with all applicable local, regional, and national laws, including but not limited to laws governing lending, savings cooperatives, paluwagan, and financial services in your jurisdiction.
  • Member Disputes: Resolving any disputes between you and your group members. MPLUS is not a mediator and will not intervene in any financial disputes.
  • Data Privacy of Members: Obtaining all necessary consents from your group members before entering their personal information into the platform, in compliance with applicable data protection laws (e.g., the Philippine Data Privacy Act of 2012).
  • Sub-User Conduct: All actions performed by any sub-users or staff accounts you create under your tenant account.
  • Account Security: Maintaining the confidentiality of your login credentials and preventing unauthorized access to your account.

Acknowledgment of Operational Separation

You acknowledge and agree that MPLUS is a passive software tool — it records and calculates based solely on data you input. Any incorrect data entry, mismanagement of funds, failure to disburse payments, or breach of obligations to your group members is entirely your responsibility and cannot be attributed to MPLUS in any way.

4. Limitation of Liability

To the maximum extent permitted by applicable law:

  • MPLUS shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or your group operations.
  • MPLUS shall not be liable for any financial loss suffered by you, your group members, or any third party as a result of operations managed through the platform.
  • MPLUS shall not be liable for any errors, inaccuracies, or omissions in data entered by you or your sub-users.
  • MPLUS shall not be liable for system downtime, data loss due to hardware failure, or interruptions to the service.
  • Our total aggregate liability in any circumstance shall not exceed the amount of fees you have paid to MPLUS in the three (3) months preceding the claim.

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

5. Prohibited Uses

You agree not to use MPLUS to:

  • Operate any activity that violates applicable local or national law
  • Run a pyramid scheme, Ponzi scheme, or any fraudulent financial arrangement
  • Enter false, misleading, or fabricated member or transaction data
  • Attempt to gain unauthorized access to other tenant accounts or system infrastructure
  • Reverse-engineer, decompile, or attempt to extract the source code of the platform
  • Use the platform for any purpose other than managing legitimate savings or microfinance groups
  • Share your account credentials with unauthorized parties

6. Accounts & Access

  • New tenant accounts are subject to Super Admin approval before activation.
  • You are responsible for all activities conducted under your account.
  • You must provide accurate and complete registration information.
  • You must notify us immediately of any suspected unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

7. Intellectual Property

The MPLUS platform, including its software, design, features, and documentation, is owned by and proprietary to MPLUS. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for your microfinance group operations during the term of your subscription.

You retain ownership of all Tenant Data you input into the system. By using the platform, you grant MPLUS a limited license to store and process your data solely for the purpose of providing the Services.

8. Subscription & Fees

  • Free / Basic Plan: Allows management of one (1) active group at no charge, up to a maximum of 500 members & slots.
  • Standard Plan: Allows management of up to five (5) active groups, subject to the applicable monthly fee as published on the platform.
  • Pro Plan: Allows unlimited groups, subject to the applicable monthly fee as published on the platform.
  • Fees are subject to change with reasonable notice provided to active subscribers.
  • No refunds are issued for partial subscription periods.
  • MPLUS reserves the right to downgrade accounts that fail to maintain active subscriptions.

9. Termination

We may terminate or suspend your access to the platform at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent conduct, or non-payment of applicable fees.

Upon termination, your right to access the platform ceases immediately. You remain responsible for any obligations to your group members that arose during your use of the platform. MPLUS has no obligation to notify your group members of your account termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Philippines.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify active users by updating the "Last Updated" date at the top of this page. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.
